By accessing or using Magnetico's revenue intelligence platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Magnetico provides a revenue intelligence platform that analyzes sales conversations, generates AI-powered insights, and integrates with CRM and communication tools to help sales teams improve performance. The Service is provided on a subscription basis as described on our pricing page.

3. Account Registration

• You must provide accurate, complete, and current registration information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must promptly notify us of any unauthorized use of your account
• One person or entity may not maintain more than one free account

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of others
• Upload or transmit malicious code or interfere with the Service's infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Scrape, crawl, or use automated means to access the Service without our permission
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Record or collect the personal data of others without appropriate consent
• Use the Service in any way that could damage, disable, or impair our infrastructure

5. Your Content

You retain ownership of all data, content, and materials you upload to or create through the Service ("Your Content"). By using the Service, you grant Magnetico a limited, non-exclusive license to process Your Content solely to provide the Service to you.

You represent and warrant that: (a) you have all necessary rights to upload Your Content; (b) Your Content does not violate any third party's rights; and (c) you have obtained all required consents to record and process any sales conversations included in Your Content.

6. Subscription and Payment

• Paid subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as stated in our refund policy
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account
• You are responsible for all taxes associated with your subscription

7. Intellectual Property

The Service, including all software, algorithms, designs, logos, and content created by Magnetico, is owned by Magnetico and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our proprietary materials without our express written permission.

AI-generated insights and recommendations produced by the Service from Your Content are provided for your use. You retain responsibility for decisions made based on those insights.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated insights are for informational purposes only and do not constitute professional advice.

10. Limitation of Liability

To the maximum extent permitted by law, Magnetico shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Termination

Either party may terminate the agreement at any time. Upon termination, your access to the Service will cease. You may export Your Content before termination. We will retain your data for 30 days after termination to allow export, after which it will be deleted.

We may suspend or terminate your access immediately if you violate these Terms, fail to pay, or if required by law.

12. Governing Law

These Terms are governed by applicable law. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction, depending on your location. For EEA users, these Terms do not limit your rights under mandatory consumer protection laws in your country.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect, either by email or by a notice in the Service. Your continued use after changes take effect constitutes acceptance of the updated Terms.
